Terms of Service & End User License Agreement

Effective date: July 6, 2026

This End User License Agreement and Terms of Service ("Agreement") governs your access to and use of Fee Manager ("the App"), a third-party application for the Clover point-of-sale platform. By installing, connecting your Clover account to, or otherwise using the App, you ("Merchant," "you") agree to be bound by this Agreement.

1. What the App does

Fee Manager reads your Clover inventory and lets you group items and assign per-unit flat fees to them (for example, CRV/bottle deposits or bag fees). When you assign a fee, the App creates or updates a corresponding tax rate on the relevant items in your Clover account so that the fee is applied automatically at checkout.

2. License grant

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your own business operations on Clover. You may not resell, sublicense, reverse engineer, or use the App to build a competing product.

3. Your responsibilities

  • You are responsible for configuring fee groups with the correct fee amounts for your jurisdiction (for example, the correct CRV rate for a given container size and material) and for verifying that fees display and total correctly on receipts for your business.
  • You are responsible for your own tax and regulatory compliance (including CRV/bottle-bill and CalRecycle reporting obligations). The App is a tool to help apply fees consistently - it does not provide legal or tax advice, and we do not guarantee that any fee configuration satisfies your specific compliance obligations.
  • You must have the authority to connect the Clover merchant account you use with the App.

4. Clover account access

The App connects to your Clover account via Clover's official OAuth authorization flow. We only request the permissions needed to read your inventory and manage the tax rates used to apply fees. You can revoke this access at any time from your Clover dashboard or by uninstalling the App.

5. Fees for the App

Any subscription price for the App will be shown to you at installation via the Clover App Market before you are charged. Continued use of the App after a price change takes effect constitutes acceptance of the new price.

6. Disclaimer of warranties

The App is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that every fee will be applied without any possibility of error.

7. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, or for any loss of revenue, profits, or data, arising from your use of the App, including any fee that is incorrectly applied, omitted, or duplicated at checkout. Our total liability for any claim arising from this Agreement will not exceed the amount you paid us for the App in the three months preceding the claim.

8. Termination

You may stop using the App at any time by uninstalling it from your Clover dashboard. We may suspend or terminate your access if you violate this Agreement or if required by Clover. Uninstalling the App does not automatically remove fee-related tax rates already applied to your items in Clover; you can remove assignments from within the App before uninstalling, or manage the tax rates directly in Clover.

9. Changes to this Agreement

We may update this Agreement from time to time. Material changes will be reflected by an updated effective date on this page. Continued use of the App after changes take effect constitutes acceptance of the revised Agreement.

10. Governing law

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law principles.
